Salgs- og leveringsbetingelser

Efterfølgende leveringsbetingelser er gældende medmindre der i kontraktforholdet konkret er indgået anden aftale.

RestoreTest ApS sørger for at den aftalte service er tilgængelig i hele aftaleperioden. Såfremt der er problemer, eller afbrydelser i tilgængeligheden, har RestoreTest ApS ansvar for hurtigst muligt at få servicen til at fungere tilfredsstillende igen.

RestoreTest ApS har ansvar for at supportere kunder med alle spørgsmål vedrørende løsningen inden for rimelig tid.

Normalt vil alle spørgsmål af normal karakter blive besvaret i dagtimerne på hverdage inden for 5 timer. Spørgsmål der ligger ud over support vedrørende RestoreTest løsningen vil blive besvaret mod betaling. Kunden vil blive oplyst herom inden rådgivningens start.

RestoreTest ApS's datacenter, er døgnovervåget og eventuelle fejl bliver rettet straks det er muligt.

RestoreTest ApS tillader brug af løsningen af enhver form for information uden begrænsning af art eller indhold.

RestoreTest ApS er ikke ansvarlig for tab i forbindelse med tekniske nedbrud ved transmissionsadgang, fejlagtig opsætning af RestoreTest-løsningen ved bruger eller anden lignede følgeskade, i forbindelse med fejlagtig anvendelsen af systemet og er ikke ansvarlig ved slutbrugers manuelle sletning af opsætning.

RestoreTest ApS er ikke ansvarlig for tab, der skyldes force majeure, herunder lov forskrifter, myndigheds foranstaltninger eller lignende.

RestoreTest ApS er ikke ansvarlig for tab af data i forbindelse med terror, hacker angreb eller sabotage, strejke, lockout, boykot eller blokade. Dette gælder selv om RestoreTest ApS er part i konflikten, og selv om konflikten kun rammer dele af løsningens funktioner.

Kunder kan til enhver tid ændre en aftale til en anden type. Ændres aftalen til en dyrere løsning, en ekstraopkrævning blive tilsendt på prisforskellen mellem den allerede forudbetalte aftale og den nye. Ønskes en billigere løsning, vil pengene for en allerede forudbetalt aftale ikke blive refunderet. Ændringer af aftaler koster ikke gebyr.

Kunden binder sig i den valgte periode. Opsiges abonnementet ikke min. 1 måned til den 1. i en måned før periodens udløb, bliver det automatisk fornyet. RestoreTest ApS forbeholder sig ret til via e-mail at kontakte kunder med informationer vedr. ændringer og relevante information i forbindelse med løsningen.

RestoreTest ApS kan med 3 månedsvarsel opsige en aftale. Et eventuelt resterende beløb af en forudbetalt abonnements periode, vil hermed blive refunderet.

Dog kan RestoreTest ApS ved brud på forretningsbetingelserne ophæve den indgående aftale uden varsel. I sådanne tilfælde er RestoreTest ApS ikke berettiget til at tilbagebetale et evt. forudbetalt abonnementsperiode.

Alle bestillinger af RestoreTest ApS løsningen kan til enhver tid opsiges med 3. måneds varsel til udløbet af en periode.

Alle ophør / opsigelser skal foregå pr. e-mail til support@restoreTest.dk og aftalens afbestilling bekræftes af RestoreTest ApS's support.

Betalingsbetingelser:

Hos os betaler du via faktura. Alle angivne priser på prislisten er eksklusive moms. Faktura forfalder til betaling netto kontant. RestoreTest løsningen aktiveres kort efter bestillingen, RestoreTest ApS sender faktura pr. e-mail eller elektronisk faktura hvis ænskes til kunden. Overholdes betalingsfristen ikke, vil løsningen blive deaktiveret indtil RestoreTest ApS har modtaget beløbet.

RestoreTest ApS formidler en løsning til test af data, som kunden har genskabt via sine normale backup systemer. Kundens lagrede data hos os tilhører alene kunden. Kunden er ansvarlig for installation af RestoreTest løsningen, herunder også eventuelle fejl der sket i forbindelse med installationen, opsætning eller brugen heraf.

Foretages installationen af RestoreTest ApS support eller af en RestoreTest ApS partner, så vil den udførende part altid have ansvaret for eventuelle fejl der er sket i forbindelse med installationen. Efterfølgende er det kundens ansvar at løsningen mm. er kørende og opdateret.

Det er kundens ansvar at der tages 'restore test' af de rigtige data, også selvom RestoreTest ApS support, eller RestoreTest ApS partnere opsætter systemet. RestoreTest ApS kontrollerer ikke driften af den daglige 'restore test'.

Værneting:

Enhver tvist eller uoverensstemmelse der måtte forekomme som ikke kan løses i mindeligehed mellem kunden og RestoreTest ApS, skal afgøres efter dansk ret ved retten i København.

## Terms and Conditions ### General The following terms and conditions apply unless otherwise agreed in writing in a specific contract.[page:0] RestoreTest ApS ensures that the agreed service is available for the entire contract period. If there are issues or interruptions in availability, RestoreTest ApS is responsible for restoring the service to a satisfactory level as quickly as possible.[page:0] RestoreTest ApS is responsible for supporting customers with all questions regarding the solution within a reasonable time.[page:0] Normally, all standard inquiries will be answered on business days during office hours within 5 hours. Questions that go beyond support related to the RestoreTest solution are charged separately, and the customer will be informed before such advisory work begins.[page:0] The RestoreTest ApS data center is monitored around the clock, and any errors are corrected as soon as possible.[page:0] RestoreTest ApS allows the solution to be used for any type of information without restrictions on type or content.[page:0] ### Liability RestoreTest ApS is not liable for losses in connection with technical failures of transmission access, incorrect configuration of the RestoreTest solution by the user or similar consequential damages related to incorrect use of the system, and is not liable for losses caused by an end user manually deleting configuration or data.[page:0] RestoreTest ApS is not liable for losses caused by force majeure, including legislation, regulatory actions or similar circumstances.[page:0] RestoreTest ApS is not liable for loss of data in connection with terrorism, hacker attacks or sabotage, strikes, lockouts, boycotts or blockades. This applies even if RestoreTest ApS is a party to the conflict, and even if the conflict only affects parts of the solution’s functionality.[page:0] RestoreTest ApS provides a solution for testing data that the customer has restored using the customer’s usual backup systems. Data stored with us belongs solely to the customer. The customer is responsible for installing the RestoreTest solution, including any errors occurring in connection with installation, configuration or use.[page:0] If the installation is performed by RestoreTest ApS support or by a RestoreTest ApS partner, the party performing the installation will be responsible for any errors that occur in connection with the installation. Thereafter, it is the customer’s responsibility to ensure that the solution is running and kept up to date.[page:0] It is the customer’s responsibility to ensure that “restore tests” are performed on the correct data, even if RestoreTest ApS support or a RestoreTest ApS partner configures the system. RestoreTest ApS does not monitor the operation of the daily restore tests.[page:0] ### Changes to subscriptions Customers may change a subscription to another type at any time. If the subscription is changed to a more expensive plan, an additional invoice will be issued for the difference between the already prepaid period and the new plan. If a cheaper plan is chosen, any prepaid amount for the previous plan will not be refunded. Changes to subscriptions are not subject to fees.[page:0] The customer is committed for the selected period. If the subscription is not terminated with at least one month’s notice to the 1st of a month before the end of the current period, it is automatically renewed. RestoreTest ApS reserves the right to contact customers by e‑mail with information about changes and other relevant information concerning the solution.[page:0] RestoreTest ApS may terminate an agreement with three months’ notice. Any remaining amount for a prepaid subscription period will then be refunded.[page:0] However, in the event of a breach of these terms, RestoreTest ApS may terminate the agreement with immediate effect. In such cases, RestoreTest ApS is not obliged to refund any prepaid subscription period.[page:0] All orders for the RestoreTest ApS solution may be cancelled at any time with three months’ notice, effective at the end of a subscription period.[page:0] All terminations must be sent by e‑mail to support@restoretest.dk and must be confirmed by RestoreTest ApS support.[page:0] ### Payment terms Payment is made by invoice. All prices on the price list are exclusive of VAT. Invoices are due for payment net cash. The RestoreTest solution is activated shortly after ordering, and RestoreTest ApS sends the invoice by e‑mail or as an electronic invoice if requested by the customer.
